Resellers (each, a “Partner”) that (i) enroll in the SurePayroll Reseller Program (the “SurePayroll Reseller Program”) on or after November 1, 2022 and (ii) open accounts for new clients through the SurePayroll Reseller dashboard between November 1, 2022 and February 17, 2023 (the “Promotion Period”) are eligible for the promotion described below (the “Promotion”). By participating in this Promotion, you agree to be bound by these Promotion terms and conditions (“Promotion Terms”). Subject to these Promotion Terms, Partner will be eligible to receive payout in the form of an electronic Visa® or Mastercard® gift card(s) via email (the “Promotion Payout”)in accordance with the applicable Promotional Payout Table below. A Partner with less than 50 clients can qualify for both the “New Clients With 3 or more Employees” Promotion and the “New Clients With Less Than 3 Employees” Promotion; the maximum payout per Promotion is $5,000. Resellers that bring on 50 or more clients can earn up to $10,000 in rewards. The total maximum payout during the Promotion Period is $10,000 per partner. A “New Client” is a client that (i) has enrolled on the Reseller’s dashboard (such enrollment, the “Enrollment” or being “Enrolled”), (ii) has an Employer Identification Number that has not previously been used on the Platform; and (iii) has processed at least one paid payroll by March 1, 2023. Clients must still be active as of May 1, 2023 for Partner to receive Promotional Payout.
Promotional Payouts shall be sent via email within 45 days of the later of the following: (i) May 31, 2023 or (ii) the provision of the Form W-9 by Partner to SurePayroll. Further restrictions on this offer: Valid only in the United States. Void where prohibited. Eligible Participants must be a legal U.S resident and 18 years of age or older.

Limitation of LiabilitySurePayroll’s cumulative liability in connection with the program, including for any breach of these terms and conditions, will be limited to the payment of any unpaid rewards payments due in connection with the program, not to exceed a total of ten thousand dollars ($10,000).
